1. Acceptance of terms
By accessing or using CriterionIQ ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms. If you do not agree, do not use the Service.
2. Description of service
CriterionIQ is a cross-channel marketing intelligence, execution, and signal platform that provides AI-synthesized performance analysis, campaign building tools, tracking infrastructure, ad creative analysis, and related features for paid and organic advertising. Features and availability may change as the platform evolves.
3. Accounts and access
- You must provide accurate information when creating an account and keep it up to date.
- You are responsible for all activity that occurs under your account. Keep your credentials confidential.
- You must be at least 18 years old and have the legal capacity to enter into contracts to use the Service.
- We reserve the right to suspend or terminate accounts that violate these Terms or that we reasonably believe pose a security or abuse risk.
4. Authorized use
You agree to use the Service only for lawful business purposes. You may not:
- Connect ad accounts you do not own or are not authorized to access
- Use the Service to engage in deceptive advertising, spam, or any activity that violates the policies of connected ad platforms (Meta, TikTok, Google, etc.)
- Use data retrieved via third-party platform APIs for any purpose beyond what is expressly authorized under each platform's developer terms and policies
- Use third-party platform API data to build, train, or improve products or services that compete with those platforms
- Scrape, bulk-extract, or collect data from third-party platforms by any means other than their official APIs and within their permitted rate and usage limits
- Attempt to reverse engineer, scrape, or extract underlying source code, models, or proprietary data from the Service itself
- Resell, sublicense, or otherwise commercialize access to the Service without written permission
- Interfere with or disrupt the integrity or performance of the Service or its infrastructure
- Upload or transmit malware, viruses, or any code designed to harm systems or data
5. Your data and content
You retain ownership of all data, creative assets, and content you connect to or upload into the Service ("Your Content"). By using the Service, you grant CriterionIQ a limited, non-exclusive license to access, process, and display Your Content solely to provide the Service to you.
You represent that you have all necessary rights and permissions to connect the ad accounts and data sources you link to the Service, and that doing so does not violate any third-party terms or applicable law.
6. Intellectual property
CriterionIQ and its licensors own all right, title, and interest in the Service, including software, models, interfaces, reports, and branding. Nothing in these Terms transfers any intellectual property rights to you except the limited right to use the Service as described herein. Feedback you provide about the Service may be used by us without obligation to you.
7. Third-party integrations and platform compliance
The Service integrates with third-party platforms — including Meta (Facebook and Instagram), TikTok, and Google — via their official APIs. Your use of those integrations is governed by those platforms' terms of service, developer policies, and data use restrictions, which take precedence over these Terms where applicable.
Data accessed through third-party platform APIs is used solely to provide the Service to you and only in ways permitted by the applicable platform's developer policies. We do not use platform API data to build or train models that compete with those platforms, and we do not transfer platform API data to unauthorized third parties.
CriterionIQ is not responsible for third-party platforms' actions, downtime, policy changes, or data handling. If a platform revokes or modifies our API access, related features may be limited or unavailable without notice.
8. AI-generated content
The Service uses AI models to generate performance briefs, creative analyses, recommendations, and other outputs ("AI Outputs"). AI Outputs are provided for informational purposes and do not constitute financial, legal, or advertising advice. You are responsible for reviewing and independently verifying AI Outputs before acting on them. CriterionIQ does not guarantee the accuracy, completeness, or fitness of AI Outputs for any particular purpose.
9. Pricing and payment
Pricing details will be communicated separately and incorporated into your subscription agreement. All fees are non-refundable except where required by applicable law. We reserve the right to change pricing with reasonable notice. Failure to pay may result in suspension or termination of access.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CRITERIONIQ AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNTS YOU PAID TO CRITERIONIQ IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR $100 USD IF YOU HAVE NOT PAID US ANYTHING.
12. Indemnification
You agree to indemnify, defend, and hold harmless CriterionIQ from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, Your Content, your violation of these Terms, or your violation of any third-party rights.
13. Termination
Either party may terminate the relationship at any time. You may stop using the Service and request account deletion. We may terminate or suspend access for violations of these Terms, non-payment, or for any reason with reasonable notice where practicable. Upon termination, your right to use the Service ceases immediately.
14. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles. Any disputes will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction for intellectual property claims. You waive any right to participate in a class action lawsuit or class-wide arbitration.
15. Changes to these terms
We may update these Terms from time to time. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by email. Continued use of the Service after updated Terms take effect constitutes your acceptance.
